Zusammenfassung: | "Andrew Johnston examines EC regulation of national corporate governance systems through the lenses of economic theory and reflexive governance. By contrasting the normative demands of the neoclassical 'agency' model with those of the productive coalition model, he shows how their incompatibility required political compromise. Reflexive governance theory is then used to explain how progress has been possible. Through detailed analysis of both case law and positive regulation, the author highlights the move from positive to negative integration; the benefits as well as the limits of regulatory competition; and the significant role of reflexive techniques in both preventing market failure and enabling positive integration to proceed. The workable compromise that has emerged between market integration and continued regulatory diversity at national level demonstrates that procedural regulation can steer autonomous social subsystems towards greater responsibility and a better articulation of the public good"--Provided by publisher |

Through detailed analysis of both case law and positive regulation, the author highlights the move from positive to negative integration; the benefits as well as the limits of regulatory competition; and the significant role of reflexive techniques in both preventing market failure and enabling positive integration to proceed. The workable compromise that has emerged between market integration and continued regulatory diversity at national level demonstrates that procedural regulation can steer autonomous social subsystems towards greater responsibility and a better articulation of the public good"--Provided by publisher</subfield></datafield><datafield tag="588" ind1="0" ind2=" "><subfield code="a">Print version record.</subfield></datafield><datafield tag="610" ind1="2" ind2="7"><subfield code="a">Europäische Union</subfield><subfield code="2">gnd</subfield></datafield><datafield tag="650" ind1=" " ind2="0"><subfield code="a">Corporate governance</subfield><subfield code="x">Law and legislation</subfield><subfield code="z">European Union countries.</subfield></datafield><datafield tag="650" ind1=" " ind2="0"><subfield code="a">Capital market</subfield><subfield code="x">Law and legislation</subfield><subfield code="z">European Union countries.</subfield></datafield><datafield tag="650" ind1=" " ind2="0"><subfield code="a">Conflict of laws</subfield><subfield code="x">Corporations</subfield><subfield code="z">European Union countries.</subfield></datafield><datafield tag="650" ind1=" " ind2="6"><subfield code="a">Sociétés (Droit international privé)</subfield><subfield code="z">Pays de l'Union européenne.</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">LAW</subfield><subfield code="x">Administrative Law & Regulatory Practice.</subfield><subfield code="2">bisacsh</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Gouvernance d'entreprise.</subfield><subfield code="2">eclas</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Réglementation.</subfield><subfield code="2">eclas</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">UE/CE Droit.</subfield><subfield code="2">eclas</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Marché financier.</subfield><subfield code="2">eclas</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">UE/CE Etats membres.</subfield><subfield code="2">eclas</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Capital market</subfield><subfield code="x">Law and legislation</subfield><subfield code="2">fast</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Conflict of laws</subfield><subfield code="x">Corporations</subfield><subfield code="2">fast</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Corporate governance</subfield><subfield code="x">Law and legislation</subfield><subfield code="2">fast</subfield></datafield><datafield tag="651" ind1=" " ind2="7"><subfield code="a">European Union countries</subfield><subfield code="2">fast</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Corporate Governance</subfield><subfield code="2">gnd</subfield></datafield><datafield tag="650" ind1="1" ind2="7"><subfield code="a">Corporate governance.</subfield><subfield code="2">gtt</subfield></datafield><datafield tag="650" ind1="1" ind2="7"><subfield code="a">EU-verordeningen.</subfield><subfield code="2">gtt</subfield></datafield><datafield tag="650" ind1="1" ind2="7"><subfield code="a">Internationaal handelsrecht.</subfield><subfield code="2">gtt</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Marché financier</subfield><subfield code="x">Droit</subfield><subfield code="z">Pays de l'Union européenne.</subfield><subfield code="2">ram</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Gouvernement d'entreprise</subfield><subfield code="x">Droit</subfield><subfield code="z">Pays de l'Union européenne.</subfield><subfield code="2">ram</subfield></datafield><datafield tag="650" ind1=" " ind2="7"><subfield code="a">Droit international privé</subfield><subfield code="z">Pays de l'Union européenne.</subfield><subfield code="2">ram</subfield></datafield><datafield tag="651" ind1=" " ind2="7"><subfield code="a">Europäische Union.</subfield><subfield code="2">swd</subfield></datafield><datafield tag="758" ind1=" " ind2=" "><subfield code="i">has work:</subfield><subfield code="a">EC regulation of corporate governance (Text)</subfield><subfield code="1">https://id.oclc.org/worldcat/entity/E39PCFKrhH348hWp6bRkT4J8T3</subfield><subfield code="4">https://id.oclc.org/worldcat/ontology/hasWork</subfield></datafield><datafield tag="776" ind1="0" ind2="8"><subfield code="i">Print version:</subfield><subfield code="a">Johnston, Andrew, 1971-</subfield><subfield code="t">EC regulation of corporate governance.</subfield><subfield code="d">Cambridge [U.K.] ; The shareholder value model -- The productive coalition model -- Harmonisation -- Negative interaction -- Variety and integration : reflexive corporate governance regulation -- The European Company Statute and the Takeover Directive -- Capital market regulation -- 'Labour law' regulation -- 'Soft law'. "Andrew Johnston examines EC regulation of national corporate governance systems through the lenses of economic theory and reflexive governance. The workable compromise that has emerged between market integration and continued regulatory diversity at national level demonstrates that procedural regulation can steer autonomous social subsystems towards greater responsibility and a better articulation of the public good"--Provided by publisher Print version record.
